Terms of Service

These Terms of Service (“Terms”) are a binding contract between Zenith Synapse LLC (“Zenith Synapse,” “we,” “our,” or “us”) and any person or entity that accesses zenithsynapse.com or uses our Services (“you” or “Client”).
1. Services
We provide marketing partnership, revenue reactivation, and automation solutions. The specific scope, deliverables, and performance metrics are defined in individual Statement of Work (SOW) documents or campaign agreements signed by both parties.
2. Client Responsibilities
To ensure the success of our partnership, you agree to:
- Provide necessary access to marketing assets, CRM systems, and customer lists as required for campaign execution.
- Affirm that you have all necessary rights and consents to use and share any data you provide to us.
- Review and approve campaign assets in a timely manner.
3. Fees & Revenue Share
Our primary engagement model is performance-based. Fees are invoiced based on a percentage of the revenue generated by our campaigns, as explicitly detailed in your specific agreement. Invoices are due upon receipt unless otherwise noted in your SOW.
4. Intellectual Property
Our IP: We retain ownership of our proprietary methods, templates, automation workflows, and strategies used to deliver the services.
Your IP: You retain full ownership of your customer data, brand assets, and any specific content we create exclusively for your brand upon full payment.
5. Disclaimer & Liability
No Guarantee: While we work to maximize results, past performance does not guarantee future results. We provide our services "as is" without warranties of any kind.
Limitation of Liability: To the maximum extent permitted by law, Zenith Synapse's liability is limited to the amount of fees paid to us by the Client in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
6. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming. Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in Sheridan County, Wyoming.
